Vendor Agreement

Summary: This Vendor Agreement governs your use of Monbug as a seller. By becoming a vendor you agree to these terms in addition to our general Terms of Service. Questions? Email us at support@shopmonbug.com

1. Acceptance

By registering as a vendor on Monbug ("Platform"), checking the agreement box during onboarding, or listing any product for sale, you ("Vendor") agree to be legally bound by this Vendor Agreement ("Agreement") in addition to Monbug's general Terms of Service. If you do not agree, you may not sell on the Platform.

This Agreement may be updated at any time. Vendors will be notified of material changes by email at least 14 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance.

2. Eligibility

To become a Vendor you must:

  • Be at least 18 years of age
  • Be a legal individual, sole proprietor, partnership, LLC, corporation, or other legal entity
  • Have the legal right to sell the products you list
  • Complete Stripe Connect onboarding before receiving any payouts
  • Provide accurate business and personal information
  • Not be prohibited from selling online under applicable law

Monbug reserves the right to refuse vendor applications at its sole discretion.

3. Your Store

3.1 One Store Per Vendor

Each vendor may operate one store on the Platform. Operating multiple stores without written permission from Monbug is prohibited and may result in immediate termination.

3.2 Store Information

You are responsible for keeping your store name, description, policies, and contact information accurate and up to date. Misleading store information is grounds for suspension.

3.3 Store URL

Your store URL (slug) is assigned during onboarding. Monbug reserves the right to change store URLs that violate our policies or infringe on trademarks.

4. Listings & Products

4.1 Accuracy

All product listings must accurately represent the item being sold, including:

  • Accurate title, description, and photographs
  • Correct pricing and inventory counts
  • Honest processing and shipping times
  • Clear disclosure of materials, dimensions, and condition

4.2 Handmade & Independent

Monbug is a marketplace for independent makers and craft vendors. You must be the maker, designer, or authorized reseller of all items you list. Mass-produced items not made or designed by you are prohibited unless approved in writing by Monbug.

4.3 Prohibited Items

The following items may not be listed under any circumstances:

  • Counterfeit, stolen, or fraudulently obtained goods
  • Items that infringe on intellectual property rights
  • Illegal drugs, controlled substances, or drug paraphernalia
  • Weapons, firearms, or ammunition (except legal decorative/collectible items with prior approval)
  • Hazardous materials
  • Live animals
  • Human remains or body parts
  • Items that promote hate, violence, or discrimination
  • Child sexual abuse material (CSAM) of any kind โ€” zero tolerance, immediate termination and law enforcement referral
  • Any item prohibited by federal, state, or local law

4.4 Images

Product images must be your own photography or images you have the right to use. Stock photos, watermarked images, or images stolen from other sellers are prohibited.

5. Mature Content

5.1 Eligibility

To list Mature Content products you must:

  • Have your account age-verified (18+)
  • Have each mature listing approved by Monbug before it goes live
  • Comply with all applicable laws regarding adult products in your jurisdiction

5.2 Permitted Mature Categories

Currently permitted mature categories are:

  • Adult Toys & Accessories
  • Artistic Nudity (tasteful, non-explicit figure art and similar)
  • Kink & Lifestyle

5.3 Prohibited Mature Content

Even within mature categories, the following are strictly prohibited:

  • Sexually explicit imagery in product photos
  • Content depicting or targeting minors in any sexual context
  • Non-consensual content of any kind
  • Content illegal in the United States

5.4 Approval & Removal

All mature listings require admin approval before going live. Monbug reserves the right to reject or remove any mature listing at its sole discretion without notice or refund of fees.

6. Fees & Payouts

6.1 Platform Fee

Monbug charges a 5% platform fee on each completed transaction. This fee is automatically deducted from your payout.

6.2 Subscription Plans

Vendor subscription plans (Starter, Maker, Growth) are billed as described on the pricing page at shopmonbug.com/sell/pricing. Plan fees are non-refundable except as required by law.

6.3 Stripe Connect Required

Payouts are processed exclusively via Stripe Connect. You must complete Stripe Connect onboarding to receive payouts. Monbug is not responsible for delays caused by incomplete Stripe onboarding or Stripe's own processing times.

6.4 Payout Schedule

Payout timing is determined by your subscription plan:

  • Starter: 7 business days after order completion
  • Maker: 2 business days after order completion
  • Growth: 1 business day after order completion

6.5 Withheld Payouts

Monbug reserves the right to withhold payouts in cases of:

  • Suspected fraud or chargebacks
  • Active disputes on your orders
  • Violation of this Agreement or the Terms of Service
  • Account suspension or termination

7. Order Fulfillment

7.1 Processing Time

You must fulfill orders within your stated processing time. If you cannot fulfill an order you must notify the buyer and Monbug immediately.

7.2 Shipping

You are responsible for:

  • Packaging items safely and appropriately
  • Providing accurate tracking information when available
  • Communicating shipping updates to buyers
  • Any loss or damage caused by improper packaging

7.3 Communication

You must respond to buyer messages within 48 hours. Failure to communicate is grounds for dispute escalation and may affect your standing on the Platform.

7.4 Cancellations

Order cancellations must be processed promptly. Repeated cancellations due to inaccurate inventory may result in account review.

8. Returns & Disputes

8.1 Your Return Policy

You may set your own return policy as disclosed in your store settings. You must honor the return policy displayed on your store at the time of purchase.

8.2 Dispute Resolution

If a buyer opens a dispute:

  • You must respond within 5 business days
  • You must make a good-faith effort to resolve the issue directly with the buyer
  • If resolution fails, Monbug moderators may intervene
  • Monbug's decision in disputes is final

8.3 Refunds

Monbug reserves the right to issue refunds to buyers on your behalf in cases of:

  • Non-delivery of orders
  • Items significantly not as described
  • Fraud or misrepresentation

Refund amounts will be deducted from your pending or future payouts.

8.4 Chargebacks

You are responsible for chargebacks resulting from your orders. Excessive chargebacks may result in account suspension.

9. Intellectual Property

9.1 Your Content

You retain ownership of all content you submit to the Platform, including product photos, descriptions, and store information.

9.2 License to Monbug

By listing on the Platform you grant Monbug a non-exclusive, worldwide, royalty-free license to display, reproduce, and promote your listings and store for the purpose of operating and marketing the Platform. This includes using your product images in social media, email campaigns, and promotional materials.

9.3 Third-Party IP

You must not list products that infringe on trademarks, patents, copyrights, or other intellectual property rights of any third party. Fan art, inspired-by products, and similar items must not use protected brand names, logos, or characters without authorization.

10. Taxes

You are solely responsible for:

  • Determining and collecting any applicable sales tax on your transactions
  • Reporting and remitting taxes to the appropriate authorities
  • Complying with all tax laws applicable to your business

Monbug does not collect or remit sales tax on your behalf except where required by law as a marketplace facilitator. Consult a tax professional for guidance specific to your situation.

11. Suspension & Termination

11.1 By Monbug

Monbug may suspend or terminate your vendor account immediately for:

  • Violation of this Agreement or the Terms of Service
  • Listing prohibited items
  • Fraud, misrepresentation, or deception
  • Excessive disputes, chargebacks, or complaints
  • Non-fulfillment of orders
  • Any conduct that Monbug determines is harmful to the Platform or its users

11.2 By You

You may close your vendor account at any time through your dashboard settings or by contacting support@shopmonbug.com. You must fulfill all pending orders before your account can be closed.

11.3 Effect of Termination

Upon termination:

  • Your listings will be immediately unpublished
  • Pending payouts will be held for 90 days to cover any outstanding disputes or chargebacks
  • After 90 days, remaining balances will be paid out via Stripe Connect
  • You remain liable for any obligations incurred prior to termination

12. Changes to This Agreement

Monbug reserves the right to modify this Agreement at any time. We will notify vendors by email at least 14 days before material changes take effect. Minor changes (typos, clarifications) may be made without notice. The current version of this Agreement is always available at shopmonbug.com/vendor-agreement.

13. Governing Law

This Agreement shall be governed by the laws of the Commonwealth of Pennsylvania. Any disputes arising from this Agreement shall be resolved through binding arbitration in Warren County, Pennsylvania, under the American Arbitration Association rules.
